1. Overview
PenguinScribe operates a Refer and Earn program that allows eligible registered users and administrators to earn referral income by introducing new clients to PenguinScribe's paid subscription plans. By submitting a referral lead or participating in this program, you agree to be bound by these Terms and Conditions in full.
2. Eligibility
2.1 Participation in the Refer and Earn program is available exclusively to registered PenguinScribe users holding an active account in good standing with the role of User or Admin.
2.2 Referrals can only be submitted through the official Refer and Earn page within the PenguinScribe platform. Leads submitted outside this channel will not be recognised for payout purposes.
2.3 PenguinScribe reserves the right to suspend or disqualify any participant who submits fraudulent, incomplete, or misleading referral information.
3. How to Refer
3.1 To submit a referral, a participant must provide all of the following required information through the referral submission form:
- Full name of the referred client
- Company name of the referred client
- Email address of the referred client
- Phone number of the referred client
- Participant's personal email address (for payout communications and confirmations)
3.2 Additional notes about the lead may be optionally included to help the PenguinScribe sales team understand context.
3.3 Upon successful submission, a unique Referral ID (format: REF-XXXXXXXX) will be generated and sent to the participant's registered personal email address for tracking purposes.
4. Referral Earning Structure
4.1 Earning Rate: Participants earn 30% of the net subscription amount paid by the referred client on each billing cycle for which that client remains actively subscribed to a paid PenguinScribe plan.
4.2 Recurring Nature:Referral earnings are recurring. Payouts continue for each billing cycle (monthly or annual, depending on the referred client's chosen plan) as long as the referred client maintains an active paid subscription.
4.3 Payout Timing:Earnings are calculated and transferred in alignment with the referred client's billing structure. For example, if the referred client is on a monthly plan, the referral payout is processed monthly; if the referred client is on an annual plan, the referral payout is processed annually.
4.4 Per-Lead Annual Cap:The maximum referral earning per individual referred lead is INR 10,000 per calendar year, regardless of the client's plan value or billing cycle.
4.5 Total Annual Earnings Cap: The total combined referral earnings across all submitted and converted leads for a single participant is capped at INR 50,000 per calendar year.
4.6 Maximising Earnings:Higher-value subscription plans and longer client retention directly increase a participant's earning potential within the defined caps. Participants are encouraged to refer clients with larger team sizes or higher usage requirements to maximise their recurring income.
5. Payout Conditions
5.1 Referral earnings are only applicable once the referred client has completed a successful subscription payment to PenguinScribe.
5.2 Payouts will be processed to the bank account or payment method registered against the participant's PenguinScribe account. Participants are responsible for keeping their payment details current.
5.3 PenguinScribe reserves the right to withhold or reverse a payout if:
- The referred client requests a refund or chargeback.
- The referral submission is found to be duplicate, fraudulent, or in violation of these terms.
- The qualifying subscription is cancelled, downgraded, or lapsed before the payout processing date.
5.4 Referral earnings are subject to applicable taxes. Participants are solely responsible for declaring and paying any income tax, GST, or other statutory obligations arising from referral payouts.
6. Duplicate and Conflict Policy
6.1 Each client (identified by email address or phone number) can only be the subject of one active referral submission per organisation account on PenguinScribe.
6.2 If a client has already been submitted as a referral lead by another participant within the same organisation, the subsequent submission will be rejected with a conflict notice.
6.3 If a prospective client is already an existing PenguinScribe customer at the time of submission, PenguinScribe reserves the right to disqualify the referral from earning eligibility.
7. Program Limitations and Changes
7.1 PenguinScribe reserves the right to modify, suspend, or terminate the Refer and Earn program at any time with or without prior notice.
7.2 Any changes to the earning rate, annual caps, or payout structure will apply prospectively. Leads submitted prior to a policy change will be honoured under the policy in force at the time of submission, where reasonably practicable.
7.3 PenguinScribe's decision regarding referral eligibility, payout amounts, and dispute resolution is final.
8. Participant Responsibilities
8.1 Participants must not make false, misleading, or exaggerated claims about PenguinScribe's products or services when referring potential clients.
8.2 Participants must not offer personal financial incentives to prospective clients as motivation to subscribe to PenguinScribe.
8.3 Participants must ensure that any information submitted in a referral form is accurate and complete to the best of their knowledge.
8.4 PenguinScribe will not be liable for any loss or damage arising from a participant's misrepresentation to a referred client.
9. Data and Privacy
9.1 By submitting a referral, participants confirm they have obtained consent from the referred client to share their contact information (name, company, email, and phone number) with PenguinScribe for the purpose of a sales enquiry.
9.2 Referral lead data submitted through the platform is stored securely in accordance with PenguinScribe's Privacy Policy.
9.3 Referral data including lead details, submission metadata, and policy snapshots are retained for auditing, payout verification, and compliance purposes.
10. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this program shall be subject to the exclusive jurisdiction of the courts of India.
