- By using Penguin Scribe, you agree to these Terms.
- You may use the Platform only for lawful organizational purposes — misuse, unauthorized access, and reverse engineering are prohibited.
- You own the audio recordings and transcriptions you create. We own the Platform itself.
- Subscriptions are billed as agreed — you are responsible for keeping your payment details current.
- We can suspend or terminate accounts that violate these Terms.
- Our liability to you is capped at the fees you paid us in the 12 months before any claim arises.
- These Terms are governed by Indian law, with disputes resolved in Bengaluru courts.
These Terms of Service (Terms) constitute a legally binding agreement between Penguin Biotechnologies PVT LTD and you, or where applicable the organization you represent.
By using Penguin Scribe, you confirm you have read and accepted these Terms, have legal authority to accept them, and are at least 18 years of age.
If you do not agree to these Terms, you must not access or use the Platform.
These Terms should be read alongside our Privacy Policy, which is incorporated by reference.

| Subscription | A paid plan granting access for a defined billing period and feature set |
| Subscription Fee | Charges payable by the Customer for the selected plan |
| Effective Date | Date you first accept these Terms or access the Platform, whichever is earlier |
3.1 Account Creation
Access requires a registered account created by Superadmins provisioning tenants or Admins managing users in the tenant workspace. Self-registration may be available in some configurations.
3.2 Account Accuracy
You agree to provide accurate and up-to-date account information.
3.3 Account Security
- Maintain confidentiality of credentials

Single-device session enforcement is applied. Credential sharing is prohibited.
3.4 One Account Per User
Each account is intended for one individual; account sharing is not permitted.
3.5 Organizational Accounts
Organizations are responsible for user compliance, role administration, and activity under their tenant.
4.1 Licence Grant
Subject to compliance and payment, we grant a limited, non-exclusive, non-transferable, revocable licence for internal business use during subscription period.
4.2 Scope of Use
- Use features included in your plan
- Create/store recordings and transcriptions in your tenant
- Use formatting, notifications, support, and audit modules as available
- Grant user access via role/permission system
4.3 Restrictions
- No copying, derivative works, reverse engineering, or source extraction
- No sublicensing, resale, transfer, or competitor use
- No unauthorized automation, unauthorized access attempts, or limits bypass
- No removal of proprietary notices/branding
4.4 No Implied Rights
All rights not expressly granted are reserved by Penguin Biotechnologies PVT LTD.
5.1 Permitted Use
Use the Platform only for lawful organizational workflows and within assigned roles and permissions.
5.2 Prohibited Conduct
- Illegal content/activities, rights violations, unauthorized recordings
- Security abuse, malware, vulnerability probing, impersonation, DoS behavior
- Privacy/data misuse or unlawful processing
- Circumvention of usage limits or unauthorized third-party service delivery
5.3 Reporting Violations
Report misuse to hello@penguinscribe.com.
5.4 Our Rights on Violation
We may investigate and take action, including suspension or termination.
6.1 Subscription Plans
Paid plans are published at penguinscribe.com/pricing and define users/admin counts, allowances, and included features.
6.2 Billing Cycle
Monthly and annual billing are available, with auto-renewal unless cancelled before renewal date.
6.3 Fees and Payment
- Fees payable in advance each cycle
- Applicable taxes added as required
- You authorize applicable charges to your payment method
- Failed payments must be cured promptly; suspension may occur if unpaid after 7 days
6.4 Upgrades
Upgrades take immediate effect with pro-rated charge.
6.5 Downgrades
Downgrades apply next cycle.
6.6 Cancellation
Monthly cancellation applies end of current month; annual cancellation prevents renewal. No partial refunds unless required by law or separate agreement.
6.7 Enterprise Plans
Custom enterprise terms are governed by separate written agreement and prevail where conflicting.
6.8 Price Changes
We provide at least 30 days written notice before price increases.
7.1 Platform Ownership
The Platform and its underlying assets are owned by Penguin Biotechnologies PVT LTD and licensors. No ownership is transferred under these Terms.
7.2 User Content Ownership
You retain ownership of user content created/uploaded/generated on the Platform.
7.3 Licence from You to Us
You grant a limited licence to access/store/process/display content solely to operate, support, and provide services.
7.4 No AI Training on User Content
We do not use user audio/transcriptions for model training and contractually restrict provider training use.
7.5 Feedback
Feedback grants us a perpetual, irrevocable, worldwide, royalty-free licence for platform improvement.
7.6 Third-Party IP
Do not upload infringing content; report suspected infringement to hello@penguinscribe.com.
8.1 Privacy Policy
Use of personal data is governed by our Privacy Policy.
8.2 Data Processing Agreement
Enterprise customers may request a DPA at hello@penguinscribe.com.
8.3 Your Data Responsibility
- Obtain required consents/authorizations before recording or processing
- Comply with applicable data protection laws
- Ensure legal basis/safeguards for special or sensitive data
8.4 Security
We implement security measures, while you remain responsible for your own device/network/credential security practices.
9.1 Platform Availability
We aim for reliable service but do not guarantee uninterrupted availability. Planned/emergency maintenance and external events may impact access.
9.2 Platform Changes
We may modify features; material reductions receive reasonable notice.
9.3 Terms Changes
Material changes are notified at least 14 days in advance; continued use after effective date indicates acceptance.
10.1 Termination by You
You may terminate by cancelling subscription and ceasing platform use.
10.2 Suspension/Termination by Us
We may suspend or terminate for breach, non-payment, legal requirements, security risk, false information, or suspected fraud/crime.
10.3 Suspension vs. Termination
Suspension is temporary restriction; termination is permanent closure. Where practicable, export opportunity may be provided before deletion unless prohibited.
10.4 Effect of Termination
Licence ends immediately; retention and outstanding fees continue as applicable; survival clauses remain in force.
10.5 Platform Discontinuation
We may discontinue the Platform with at least 90 days notice, provide export opportunity, and prorated refunds for unused prepaid amounts.
To the maximum extent permitted by law, the Platform is provided “as is” and “as available” without express or implied warranties, including merchantability, fitness, non-infringement, uninterrupted operation, or guaranteed transcription accuracy.
12.1 Exclusion of Consequential Loss
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, punitive losses, or loss of profits/revenue/goodwill.
12.2 Monetary Cap
Total aggregate liability is capped at subscription fees paid in the 12 months preceding the claim event.
12.3 Exceptions
Nothing limits liability that cannot legally be excluded, such as fraud or death/personal injury caused by negligence.
You agree to indemnify Penguin Biotechnologies PVT LTD and its representatives for claims/losses/costs arising from your breach, unlawful use, infringing content, consent/privacy claims, or organizational non-compliance.
We are not liable for delays/failures caused by events beyond reasonable control (including natural disasters, conflict, government action, infrastructure outages, labor actions, and public health emergencies).
Platform operation relies on third-party providers (e.g., cloud, AI transcription, email delivery). We are not responsible for third-party availability or content. External links are provided for convenience and are governed by third-party terms.
You are responsible for legal compliance in your jurisdiction, including data protection, consent, and sector-specific obligations. We do not represent that the Platform satisfies every regulated framework for every use case.
17.1 Governing Law
These Terms are governed by laws of the Republic of India.
17.2 Dispute Resolution
Parties first attempt good-faith negotiation. Unresolved disputes after 30 days may be referred to courts of Bengaluru, Karnataka, India, with exclusive jurisdiction.
17.3 EU/UK Users
Nothing prevents EU/UK users from exercising rights to proceed in local courts where mandated by applicable consumer protection law.
- Entire Agreement: Terms, Privacy Policy, DPA, and Enterprise agreement (where applicable) are the full agreement.
- Severability: Invalid provisions are modified or severed; remainder remains effective.
- Waiver: Non-enforcement does not waive future enforcement.
- Assignment: You cannot assign without consent; we may assign to successors in merger/acquisition/asset sale.

- No Partnership/Agency: Nothing creates partnership, JV, employment, franchise, or agency relationship.
